Terms of Use

Introduction and Acceptance

These Terms of Use ("Terms") govern your use of the Orato website at https://oratoaifly.com, the Orato mobile application, and related services that link to these Terms (collectively, the "Services").

The Services are provided by XBLOOM HK LIMITED, registered at ROOM 1701, 17/F, WAI FUNG PLAZA, 664 NATHAN ROAD, MONG KOK, HONG KONG ("Orato", "we", "us", or "our").

Please read these Terms and our Privacy Policy before using the Services. By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. The Services

Orato is an AI-powered speaking practice and expression-optimization service. It may allow you to:

  • Record or upload audio and video.
  • Select or create a speaking scenario.
  • Generate speech transcription and performance analysis.
  • Generate feedback, an improved script, optimized audio, subtitles, and an AI speaking video.
  • Review, rename, and delete previous tasks in Profile.

Orato does not require an Orato account or login. History remains available without an Orato Pro subscription. Other digital features may require an Apple In-App Purchase as described below.

2. Subscriptions and In-App Purchases

Orato offers paid digital features only through Apple's In-App Purchase system. Orato does not require or accept an external payment to unlock digital features in the iOS app.

Orato Pro

Orato Pro Weekly is an auto-renewable weekly subscription. While active, it unlocks full Analysis, Improved Performance, improved audio, and line-by-line practice. It does not include AI speaking video generation.

Any introductory price, standard renewal price, subscription period, and applicable local currency are shown on the purchase screen and Apple's confirmation sheet before purchase. Payment is charged to your Apple Account when the purchase is confirmed. The subscription renews automatically at the end of each weekly period unless you cancel it at least 24 hours before the current period ends. Apple may charge the renewal within 24 hours before the current period ends.

You can manage or cancel the subscription in your Apple Account or App Store subscription settings. Deleting Orato does not cancel a subscription. Restore Purchases is available in Orato for eligible subscription access associated with the Apple Account currently signed in to the App Store.

Video Passes

AI speaking video generation requires a separate consumable Video Pass and does not require an active Orato Pro subscription. Orato selects the eligible Video Pass tier based on the duration of the improved audio. The applicable duration limit, product, and price are shown before purchase.

One Video Pass covers one successful video generation in its matching duration tier:

  • Purchasing a Video Pass does not start generation automatically.
  • An unused Video Pass may be used for another eligible task in the same duration tier.
  • A Video Pass cannot be transferred to a different duration tier, transferred to another person, exchanged for cash, or included in Orato Pro.
  • Orato consumes the Video Pass only after the video-generation provider confirms that the video was generated successfully.
  • If submission fails, content safety review rejects the task, or video generation fails, the Video Pass is not consumed.
  • Once generation is submitted, it cannot be canceled from the app. Closing Orato does not cancel background generation. If the generation later succeeds, the Video Pass is consumed.

Pricing, Billing, and Refunds

Prices and availability may vary by country or region and may change as permitted by Apple and applicable law. The price displayed by Apple at purchase confirmation controls.

Apple processes billing, cancellation, and refund requests under its applicable terms. Orato cannot directly issue an App Store refund. You may request billing or refund support from Apple. Nothing in this section limits any mandatory consumer right that applies where you live.

3. Eligibility

You must be at least 13 years old to use the Services. If you are under the age of legal majority where you live, you may use the Services only with the permission and supervision of a parent or legal guardian where required by law.

If you use the Services on behalf of an organization, you represent that you have authority to accept these Terms on its behalf.

4. Limited Right to Use the Services

Subject to these Terms, Orato grants you a limited, non-exclusive, non-transferable, revocable right to use the Services for lawful personal, educational, professional, or internal business purposes.

You may not copy, sell, lease, sublicense, reverse engineer, scrape, disrupt, circumvent, or misuse the Services except where applicable law expressly permits it.

5. User Content and Ownership

"User Content" includes audio, video, photos, recordings, transcripts, text, custom scenarios, feedback, voice samples, likeness, files, and other material you submit, record, select, or upload.

You retain ownership of your User Content. Orato does not claim ownership of it.

You grant Orato a worldwide, non-exclusive, royalty-free, limited license to host, store, copy, transmit, transcribe, analyze, transform, moderate, display to you, and generate results from User Content only as necessary to:

  • Provide the feature you request.
  • Operate, secure, support, and troubleshoot the Services.
  • Perform content-safety checks and prevent misuse.
  • Comply with law and enforce these Terms.

This license ends when the content is deleted from active systems, except for limited backup, legal, security, or dispute records described in the Privacy Policy. Orato does not use User Content to train Orato-owned AI models, and Orato does not authorize its AI providers to use Orato User Content to train their general AI models.

You are responsible for User Content and represent that you have all rights, permissions, and consents needed to submit and process it.

6. Voice, Image, Likeness, and Other People's Content

The Services may process voice, facial imagery, likeness, and video to provide voice cloning, visual analysis, AI presenter generation, or lip synchronization.

You may upload content involving another person only when you have that person's authorization and any other rights required by law. You must not:

  • Clone or imitate another person's voice without authorization.
  • Upload or use another person's photo, video, or likeness without authorization.
  • Make it appear that another person said, endorsed, or did something that they did not authorize.
  • Use synthetic media to deceive, defraud, harass, exploit, or damage another person.

You are responsible for how you use or share any generated voice, image, or video.

7. AI Outputs

"AI Outputs" include transcripts, analysis, feedback, scores, summaries, improved scripts, optimized audio, subtitles, and generated videos.

To the extent permitted by applicable law, Orato does not claim ownership of AI Outputs generated for you. You may use them for lawful personal, educational, professional, or business purposes, subject to these Terms and third-party rights.

AI Outputs are generated automatically and may be inaccurate, incomplete, biased, unsuitable, offensive, or inconsistent. They may not be unique, and similar inputs may produce similar outputs for different users. Orato does not guarantee that an AI Output is eligible for copyright or free of third-party rights.

You must review AI Outputs before relying on, publishing, distributing, or using them. Where required by law or necessary to avoid misleading others, you must clearly disclose that content was generated or modified using AI.

The Services support practice and communication improvement. They do not provide professional coaching, hiring decisions, legal advice, medical advice, mental-health advice, financial advice, or a formal assessment. Orato does not guarantee any interview, employment, sales, presentation, academic, or communication outcome.

8. Third-Party AI Processing and Privacy

Orato uses Alibaba Cloud and HeyGen to provide specific AI functions. Before User Content is uploaded to a third-party AI provider, Orato displays a notice identifying the information, recipient, and purpose and asks for permission.

  • Alibaba Cloud supports content safety, transcription, speaking analysis, improved content, optimized audio, and voice cloning.
  • HeyGen is used only when you actively choose Create Video and supports safety review, AI presenter generation, video generation, and lip synchronization.

Orato has disabled use of Orato User Content for HeyGen model training through account configuration or contractual arrangements. More information about data collection, providers, retention, deletion, international processing, and withdrawal is available in our Privacy Policy.

If you decline the AI data notice, Orato will not submit the task. Features that depend on third-party AI processing cannot operate without the necessary permission.

9. Content Moderation

Orato and its service providers may use automated checks and, where necessary, authorized human review to assess uploaded or generated content for safety, legality, fraud, abuse, and compliance with these Terms.

If content is flagged or rejected, Orato may stop the task, withhold the result, delete intermediate files, or restrict further processing. If you believe a task was rejected incorrectly, contact xbloom2025@outlook.com with the task details. We may not be able to disclose confidential detection or security methods.

10. Prohibited Content and Uses

You must not use the Services to create, upload, process, or distribute content that:

  • Violates law or promotes criminal activity, fraud, scams, weapons, illegal trade, or dangerous conduct.
  • Exploits, sexualizes, endangers, or otherwise harms a child.
  • Is sexually explicit, non-consensual, exploitative, or intimate content shared without authorization.
  • Promotes hatred, discrimination, harassment, threats, violence, or self-harm.
  • Is defamatory, deceptive, impersonating, or materially misleading.
  • Infringes copyright, trademark, privacy, publicity, confidentiality, or other rights.
  • Exposes another person's private or sensitive information without authorization.
  • Contains malware or attempts to disrupt, probe, overload, or gain unauthorized access to systems.

You also must not:

  • Circumvent safety checks, rate limits, access restrictions, or technical protections.
  • Scrape or harvest information from the Services without permission.
  • Reverse engineer the Services or attempt to extract model logic or source code except where law prohibits this restriction.
  • Use the Services or outputs to train or build a competing model or service without written permission.

11. Asynchronous Processing and Availability

AI analysis, audio generation, and video generation are asynchronous and may take different amounts of time depending on file duration, network conditions, safety review, system load, and provider availability. A processing estimate is informational and is not a guaranteed completion time.

Closing a processing screen does not necessarily cancel a submitted task. You may review its current status in Profile. A task may fail, be delayed, or be rejected. Where available, Orato may allow you to retry or submit different content.

We may modify, maintain, suspend, limit, or discontinue part of the Services when reasonably necessary for security, legal compliance, provider changes, maintenance, or product operation. We do not guarantee uninterrupted or error-free availability.

12. Orato Intellectual Property

The Services, including their software, interfaces, designs, text, graphics, logos, trademarks, workflows, documentation, and other Orato-provided materials, are owned by Orato or its licensors and are protected by intellectual-property laws.

Except for the limited right granted in Section 4, these Terms do not transfer ownership of the Services or Orato intellectual property to you.

If you provide suggestions or feedback, Orato may use them to operate and improve the Services without payment or attribution, but this does not transfer ownership of your User Content.

13. Copyright and Rights Complaints

If you believe that content processed or made available through the Services infringes your copyright, privacy, publicity, or other rights, contact xbloom2025@outlook.com and provide:

  • Your name and contact information.
  • Identification of the protected work, person, or right.
  • Identification of the disputed content and enough information to locate it.
  • A description of why the use is unauthorized.
  • A statement that the information you provide is accurate and that you are the rights holder or authorized to act for the rights holder.

We may remove or restrict content and may limit access by users who repeatedly or seriously violate third-party rights.

14. Third-Party Services and App Stores

The mobile app is distributed through the Apple App Store and may be subject to Apple's applicable terms. Orato also relies on the third-party AI and infrastructure services described in the Privacy Policy.

Third-party services may have their own terms and policies. Orato is responsible for its own instructions, disclosures, and service operation, but is not responsible for independent third-party websites or services that you choose to access outside Orato.

15. Disclaimer of Warranties

To the fullest extent permitted by law, the Services and AI Outputs are provided on an "as is" and "as available" basis. Orato disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and reliability to the extent those warranties may lawfully be disclaimed.

Nothing in these Terms excludes rights or warranties that cannot be excluded under applicable consumer law.

16. Limitation of Liability

To the fullest extent permitted by law, Orato and its affiliates, officers, directors, employees, agents, service providers, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, opportunities, data, reputation, or business interruption arising from the Services or AI Outputs.

To the fullest extent permitted by law, Orato's aggregate liability arising from the Services will not exceed the greater of USD 100 or the amount you paid for the Services through Apple during the 12 months before the event giving rise to the claim, unless applicable law requires a different remedy or amount.

Some jurisdictions do not permit certain exclusions or limitations, so parts of this section may not apply to you.

17. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Orato and its affiliates, officers, directors, employees, agents, service providers, and licensors from third-party claims, losses, and reasonable costs arising from your unlawful use of the Services, your User Content, your violation of these Terms, or your violation of another person's rights.

This section does not apply where prohibited by applicable consumer law.

18. Suspension and Termination

We may restrict or suspend access to the Services if we reasonably believe you have violated these Terms, created a safety or legal risk, misused the Services, or if restriction is required by law or a service provider's valid safety requirement.

You may stop using the Services at any time. You may delete individual tasks from Profile and delete the app from your device. Deleting the app does not by itself delete tasks already submitted to Orato or cancel an active subscription; use Delete in Profile for tasks and Apple's subscription settings to manage or cancel Orato Pro.

Sections that by their nature should survive termination, including ownership, content responsibility, disclaimers, liability, indemnification, and dispute provisions, will continue to apply.

19. Changes to the Services or Terms

We may update these Terms to reflect changes in the Services, law, providers, or safety practices. We will update the date above and provide additional notice where required. Material changes will not apply retroactively where prohibited by law.

If you do not agree to updated Terms, you must stop using the Services.

20. Governing Law and Dispute Resolution

These Terms are governed by the laws applicable to XBLOOM HK LIMITED and the user, without limiting mandatory consumer protections that apply where you live.

Before starting formal proceedings, you agree to contact xbloom2025@outlook.com and allow a reasonable opportunity to resolve the issue informally, unless applicable law permits you to proceed directly. Any dispute that cannot be resolved informally will be submitted to a court or forum with lawful jurisdiction.

21. Miscellaneous

These Terms, together with the Privacy Policy and any feature-specific notice shown before use, form the agreement between you and Orato regarding the Services.

If any provision is unenforceable, the remaining provisions remain effective. Failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, reorganization, asset transfer, or operation of law.
